End User Licence Agreement
Effective 18 September 2026
This agreement governs use of Novum Insights, a fund and board reporting application operated by Novum Partners of San Antonio, Texas (“Novum”, “we”). By signing in you accept it on your own behalf and on behalf of the organisation that invited you.
1. Who may use the application
Access is by invitation only. Novum invites named people at organisations it serves under a written engagement, and named Novum staff. There is no public registration. If you have not been invited, you have no right to use the application, and any access you obtain is unauthorised.
2. Licence
Novum grants you a limited, non-exclusive, non-transferable, revocable licence to use the application, through the web interface only, for the internal financial reporting of the organisation you are associated with. You may not sublicense, resell, rent, copy, modify, reverse engineer, scrape, or create derivative works from the application, or use it to build a competing product. All rights not expressly granted are reserved by Novum.
3. Accounts and security
You sign in with a Google account that Novum has placed on the organisation’s access list. You are responsible for keeping that account secure and for everything done under it. Tell Novum promptly if you believe it has been compromised. Novum may suspend or remove access at any time, including when an engagement ends or a person leaves the organisation.
4. Connected systems
At the organisation’s direction, the application reads from QuickBooks Online and from a designated Box folder. Both connections are read only. The application never creates, changes, or deletes anything in QuickBooks or Box. A person with the appropriate role at the organisation authorises each connection and may revoke it at any time from the application’s Settings page, from Intuit’s connected-apps page, or from Box. Your use of QuickBooks Online and Box remains subject to Intuit’s and Box’s own terms.
5. Your data
The organisation owns its financial records, grant documents, and the reports the application derives from them. Novum processes that data only to provide the application and the related advisory services under the engagement, as described in the Privacy Policy. Novum does not sell it and does not use it for advertising.
6. Nature of the outputs
The application computes balances, ratios, and schedules from the organisation’s own ledger and grant register, and presents practice guidance drawn from named published sources. Its outputs depend entirely on the accuracy and completeness of the ledger and register as maintained by the organisation. Figures shown as unissued or draft are working numbers. Only a package marked as issued has been reviewed by a person at Novum.
The application provides information for management and board reporting. It does not provide legal, tax, audit, or investment advice, and it does not recommend investments or instruments. Where a question is legal in nature, the application says so and directs it to counsel. Decisions about spending restricted funds, staffing, reserves, and reporting to funders remain the organisation’s own, taken with its own professional advisers.
7. Acceptable use
You will use the application only for the purpose in section 2, only with data the organisation is entitled to process, and in compliance with applicable law. You will not attempt to access another organisation’s data, probe or test the application’s security without written permission, or interfere with its operation.
8. Confidentiality
Information you see in the application about the organisation’s finances, funders, and staff is confidential to that organisation. Do not disclose it outside the people entitled to it under the organisation’s own policies.
9. Availability and changes
Novum aims to keep the application available but does not guarantee uninterrupted service. Novum may change, suspend, or discontinue features. Where a change affects how a figure is calculated, the application records the version that produced each issued package so that earlier figures remain reproducible.
10. Disclaimer of warranties
The application is provided “as is” and “as available”. To the fullest extent permitted by law, Novum disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the application will be error free or that any figure is correct where the underlying ledger or register is not.
11. Limitation of liability
To the fullest extent permitted by law, Novum is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost funding, disallowed costs, or loss of data, arising from use of the application. Novum’s total liability arising from the application in any twelve-month period is limited to the fees the organisation paid Novum for the application in that period. Nothing in this agreement limits liability that cannot be limited by law.
12. Term and termination
This agreement applies for as long as you have access. It ends when Novum removes your access or the organisation’s engagement ends. Sections 5, 6, 8, 10, 11, and 13 survive termination.
13. Governing law
This agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts sitting in Bexar County, Texas have exclusive jurisdiction over any dispute arising from it.
14. Changes to this agreement
Novum may update this agreement by posting a new version at this address with a new effective date. Continued use after the effective date is acceptance of the new version.
